Terms of Service

These terms cover jbnx.io, the client portal, and every mockup, audit, site, app, care plan, and advertising campaign JBNX LLC ("JBNX", "we") provides. New customers sign the Service Agreement before we build, host, or run ads. That signed page governs ownership, advertising funds, approvals, budget caps, offboarding, non-payment, and takedown. Plain-English summaries appear in boxes; the surrounding text is what governs. If this page and a signed Service Agreement differ, the signed Service Agreement controls for that customer.
1. Free mockups and audits
A free mockup or audit is offered to help you decide whether to hire JBNX. All concepts, designs, drafts, and mockups are the sole property of JBNX and protected by U.S. copyright law until payment in full under a launch plan. They are provided for evaluation only; no license to use, publish, modify, or build from them is granted before that. Do not share them with third parties without our written consent. Additional design rounds beyond the one free revision are studio time.
2. Launch plans and care
A launch plan covers building the approved mockup into a live site or app on a domain we register and manage for you, with hosting, TLS certificate, and email forwarding. Care covers keeping that live: hosting, certificate, domain management, and backups. Care is billed monthly through Stripe starting at launch. There is no minimum care term. You may leave at any time; we take the site down when care ends. Prices are those published on jbnx.io on the day you sign up; we give 30 days' notice before any change to your care rate. Paid advertising, if we run it, follows Sections 4, 8, 9, and 10.
3. Studio time and credits
Work beyond what a plan includes: changes, new pages, SEO, integrations, fixes you request, is studio time at the published hourly rate, logged by the minute in your bill.jbnx.io account. Your care payments and JBNX add-ons convert to included minutes at $1 = 1 minute for the plan year. Third-party pass-through fees (Shopify, premium domains, extra mailboxes billed at cost, advertising media) do not earn minutes. Additional time is prepaid as credits. Credits and rollover minutes have no cash value and are not refundable, but do not expire while your care plan is active.
4. Scope, approvals, and timelines
The approved mockup defines the launch scope. Anything not in it is studio time. Typical flat-site launches take days after approval; apps and stores take two to three weeks as scoped. Timelines assume you supply content, logins, and approvals when asked; delays on your side extend ours. Large or custom builds (custom automations, scheduled jobs, databases beyond a basic store) are quoted separately after a consult.
For paid advertising: before the first paid impression you pre-approve in writing (email is enough) the offer, the monthly budget and any daily cap, the creative, and the landing page. After that, you grant JBNX continuing authority to run, pause, adjust bids and targeting, and iterate creative variants that do not change the approved offer or claims, within those predefined limits. A new offer, a budget increase, a new landing page, or a new regulated claim needs a new written approval. Silence is not approval of an increase.
5. Your content, obligations, and advertising compliance
You own or license the text, images, logos, and data you give us and confirm you have the right to use them. You will not use a JBNX-hosted site or a campaign we run for anything illegal, deceptive, infringing, or harmful, and you will keep your portal and billing logins private. We may suspend a site or campaign that is being used to violate these terms or that puts other clients' hosting at risk, and we will tell you why.
You are solely responsible for the accuracy and legality of your offers, claims, pricing, licenses, testimonials, and any disclosure required for a regulated industry (including health, finance, insurance, legal, alcohol, housing, employment, and similar categories). You will supply compliant copy and required disclaimers before we run ads. JBNX may refuse, pause, or take down an offer, ad, or page we reasonably believe is inaccurate, unlawful, or likely to violate platform policy. That pause is not a breach by JBNX.
6. What JBNX owns
JBNX owns the visual design, custom code, templates, hosting accounts, certificates, DNS, the hosting environment, and every domain we buy or register for the project, including LocalFave hostnames. JBNX also owns its management system, internal processes, campaign structure, reporting process, and other operational assets it creates to deliver the work. While care is paid you have a limited license to use the live site. That license ends when care ends or the site comes down. We may show the live site in our portfolio unless you ask us not to.
7. What you own or license
You own Client Materials you supply: your business name, trademarks and logos, products and services, business information, customer data (including data your customers submit through forms), and content you provide. You license those to JBNX as needed to perform the service, run approved advertising, and keep backups. Client Materials do not include JBNX's management system, templates, processes, hosting environment, campaign structure, reporting process, or other JBNX-created operational assets.
8. Advertising funds
If JBNX runs paid advertising for you, we charge management fees plus ad spend. Those are separate from each other and from the $29 care plan. Studio minutes never pay Google, Meta, or any other ad platform. Management (setup, creative production, optimization, reporting) is billed monthly: either as studio time at the published hourly rate, or as a monthly management fee if we both put that fee in writing.
Ad spend is your cost. Default: you fund it on a card or prepaid account in your name on the ad platform, or on a card or account you add that JBNX may use only for approved spend. Alternative: JBNX invoices media in advance as a pass-through at the platform's charge, with no markup unless a written statement of work says otherwise. We will not start or continue spend until that funding is in place. We do not extend credit for media. Unused prepaid media applies to later approved spend while the engagement is active; it is not a cash refund except where we failed to place the ads you prepaid.
9. Budget cap
There is no default advertising budget. We will not spend until you set a written monthly maximum for that property. You may also set a written daily maximum. Both caps, if set, apply. Caps are per client property. JBNX will not authorize spend above the monthly maximum or, if set, the daily maximum. Ad platforms can overshoot a cap by a small amount; we will pause as soon as we reasonably can. You may lower a cap in writing at any time. Raising a cap requires your written approval. A cap does not promise we will spend the full amount.
10. Payment, takedown, cancellation, and offboarding
If a monthly payment fails or is more than seven days past due, we may suspend the site and pause ads. After fourteen days past due we may take the site down. You may cancel care at any time from bill.jbnx.io or by emailing hello@jbnx.io. When you leave, we take the site down and stop ads we run. A takedown is not a refund and does not transfer ownership.
JBNX must manage the domain to keep providing the service. After twelve consecutive paid months of care, you may request in writing that we transfer the domain registration and a copy of the then-current public site files to you (you pay the registrar's transfer fee). An advertising account opened in your name stays yours. A manager account JBNX owns stays with JBNX; after twelve consecutive paid months we will disconnect your account from our manager if you ask in writing. A pixel in your ad account stays with that account; a pixel in a JBNX-owned account stays with JBNX, and after twelve consecutive paid months we will give you the conversion-event configuration if you ask. Campaign structure stays with JBNX; after twelve consecutive paid months we will export then-current campaign settings as the platform allows. Your customer data is yours; we will export it on written request while the account is current, and within thirty days after care ends if you ask. Social pages you already own stay yours; pages JBNX created in its own name stay with JBNX unless transferred after twelve consecutive paid months on written request (you pay any platform fee).
Before twelve consecutive paid months, we have no obligation to transfer or unlock the domain, hand over the files, export campaigns, or transfer pixels or social assets JBNX owns. The design, stack, management system, templates, internal processes, campaign structure, reporting process, and other JBNX-created operational assets stay with JBNX. Remaining minutes are forfeited. Care payments already made are not refundable except where we failed to provide the service. Free mockups carry no charge and no refund.
11. Uptime and support
We aim to keep hosted sites online continuously and respond to outage reports within one business day, usually much faster. We do not promise a specific uptime percentage. If a site we host is down for more than 24 consecutive hours because of something on our side, we credit that month's care.
12. Third-party services
Domains, Stripe, Shopify, Square, Google, Meta, and other platforms have their own terms and fees, which you agree to directly. We are not responsible for their outages, price changes, disapprovals, account suspensions, or policy decisions, though we will help you work around them on studio time.
13. No guarantee, disclaimer, and limitation of liability
Services are provided "as is" except as expressly stated here. Advertising results cannot be guaranteed. We do not guarantee search rankings, traffic, impressions, clicks, cost-per-lead, conversions, leads, bookings, sales, revenue, or return on ad spend. Past results are not a prediction of future results. To the fullest extent the law allows, JBNX's total liability for any claim arising from these terms or our services is limited to the amounts you paid us for care and advertising management fees in the twelve months before the claim (media spend paid to platforms is not a JBNX receipt except as a pass-through), and we are not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or failed advertising results, even if advised of the possibility.
14. General
These terms are governed by the laws of the Commonwealth of Virginia. Disputes will be resolved in the state or federal courts in Arlington County, Virginia, after a good-faith attempt to settle by email or phone. If a provision is unenforceable, the rest stands. These terms plus any written statement of work are the whole agreement and replace prior discussions, except that a signed Service Agreement controls if it differs. We may update these terms; material changes are posted here with a new effective date and, for active clients, emailed 30 days ahead.
