Service Agreement

Send new customers here: jbnx.io/agreement. They read it, type their name, and sign. We keep the receipt. This is the contract for building, hosting, care, and advertising — not a brochure.
1. Who this is with
This Service Agreement (the "Agreement") is between JBNX LLC, a Virginia limited liability company at 4075 Wilson Blvd, Suite 800, Arlington, VA 22203 ("JBNX", "we", "us") and the person or business named in the signature block ("you", "Client").
It covers every mockup, website, web app, domain, mailbox, certificate, hosting account, care plan, advertising campaign, tracking pixel, landing page, social asset, and report we provide. By checking the boxes and signing below you agree to every section. If you do not agree, do not sign and do not use the service.
2. What we do
A launch plan builds the approved mockup into a live site or app. Care keeps it live: hosting, the certificate, email forwarding, backups, and the domain we manage. Care is billed monthly (currently $29/mo as published on jbnx.io on the day you sign). There is no minimum care term. You may end care at any time. When care ends, we take the website down. We may change the published rate; we will give 30 days' notice before a change applies to an active care plan.
Work beyond the included monthly studio-time credit is billed at the published hourly rate on your private log. Third-party fees (Shopify, extra mailboxes, registrar pass-throughs, advertising media) are yours and do not buy studio minutes.
If we run paid advertising or social campaigns for you, that work is included in this Agreement. Media spend and management fees are described in Section 7. We do not start paid ads until the approvals and budget cap in Sections 8 and 9 are in writing.
Timelines assume you give us content, logins, and approvals when asked. Delays on your side extend ours.
3. Payment and taking the site down for non-payment
Care is due each month in advance through Stripe or another method we name. You authorize recurring charges for as long as the plan is active. Advertising management fees, when we charge them monthly, are due the same way.
If a payment fails, is reversed, or is more than seven (7) days past due, JBNX may suspend the website, app, mailboxes, advertising, and related services without further notice. If payment is more than fourteen (14) days past due, JBNX may take the website down, pause or stop campaigns, keep them down, and delete staging copies. We are not liable for lost leads, lost sales, lost data, or any other harm from a takedown that follows non-payment.
Taking the site down for non-payment does not cancel amounts already owed. Paid months are not refunded. Unused studio minutes have no cash value. Prepaid media that was not yet spent may be applied as Section 7 allows; it is not a cash refund because of non-payment.
4. You may ask us to take the site down
You may request that we take the website or app offline at any time by writing to hello@jbnx.io from the email on this signature. We will take it down within a reasonable time, usually one business day. The same notice pauses advertising we manage for that property.
A client-requested takedown ends hosting, certificates, mail, and our operation of ads for that property. It does not transfer the domain, the public site files, the design, the code, the stack, campaigns, or other operational assets unless a transfer is required under Section 10. Paid care and management fees are not refunded because of a takedown you asked for.
5. What JBNX owns
As between you and JBNX, JBNX owns and retains all right, title, and interest in: (a) the visual design, layout, information architecture, and user interface; (b) custom code, templates, components, databases we create, and build tooling; (c) every domain name JBNX purchases, registers, or renews in connection with the work, including LocalFave hostnames; (d) hosting accounts, certificates, DNS, mail routing, and the production and staging environments (the hosting environment); (e) the entire technical stack used to deliver the service; (f) JBNX's management system and client portal; (g) templates, playbooks, and internal processes; (h) campaign structure, naming systems, bidding methods, audiences we build from our methods, and ad-account manager seats JBNX owns; (i) the reporting process, scorecards, and report formats we create; and (j) other operational assets JBNX creates to deliver the work. Mockups and drafts are JBNX property and are for evaluation only until we agree in writing to something else.
While your care plan is paid and the site is live, JBNX grants you a limited, non-exclusive, non-transferable license to use the live website for your lawful business. That license ends when care ends, when we take the site down under this Agreement, or when you ask us to take it down. Access to ads we manage is a license to receive the service, not a transfer of JBNX operational assets.
We may show the live site in our portfolio unless you write to hello@jbnx.io and ask us not to.
6. What you own or license
You own or, where you are a licensee, you retain your rights in: your business name; trademarks, service marks, and logos; products and services; business information you supply; customer data (including data your customers submit through forms on the live site); and content you provide (copy, photographs, video, and files) (together, "Client Materials").
You grant JBNX a license to use Client Materials as needed to perform the service, to run approved advertising, to keep backups, and to show the live site in our portfolio unless you opt out under Section 5.
Client Materials do not include JBNX's management system, templates, internal processes, hosting environment, campaign structure, reporting process, or other JBNX-created operational assets.
7. Advertising funds
If JBNX runs paid advertising for you, we charge management fees plus ad spend. Those are separate from each other and from the $29 care plan. Studio minutes never pay Google, Meta, or any other ad platform.
Management (setup, creative production, optimization, reporting) is billed monthly: either as studio time at the published hourly rate on your private log, or as a monthly management fee if we both put that fee in writing. Management is due in advance for the month, the same way care is.
Ad spend (what the platform charges to show ads) is your cost. Default: you fund it on a card or prepaid account in your name on the ad platform, or on a card or account you add that JBNX may use only for approved spend. You can revoke that instrument in writing. Alternative: JBNX invoices media in advance as a pass-through at the platform's charge, with no markup unless a written statement of work says otherwise. We will not start or continue spend until that funding is in place. We do not extend credit for media.
Unused prepaid media applies to later approved spend while the advertising engagement is active. It has no cash value and is not refunded except where we failed to place the ads you prepaid. Platform refunds, credits, or clawbacks follow the platform's rules and are not a JBNX warranty.
8. Approval model
Before the first paid impression, you must pre-approve in writing (email is enough): (1) the offer; (2) the monthly budget and any daily cap; (3) the creative; and (4) the landing page. We will not spend without that written approval.
After that approval, you grant JBNX continuing authority to run, pause, adjust bids and targeting, and iterate creative variants that do not change the approved offer or claims, within the predefined limits in this section and Section 9. You do not have to sign each bid change.
A new offer, a budget increase, a new landing page, or a new regulated claim needs a new written approval. Silence is not approval of an increase. You may pause or end advertising in writing at any time; we will stop new spend as soon as we reasonably can.
9. Budget cap
There is no default advertising budget. We will not spend until you set a written monthly maximum for that property (the "Monthly Cap"). You may also set a written daily maximum (the "Daily Cap"). Both caps, if set, apply. Caps are per client property, not a shared pool across clients.
JBNX will not authorize spend above the Monthly Cap or, if set, the Daily Cap. If no Daily Cap is written, we may pace spend up to the Monthly Cap. Ad platforms can overshoot a cap by a small amount; we will pause as soon as we reasonably can. We are not liable for a platform overshoot we did not authorize.
You may lower a cap in writing at any time (email is enough). Raising a cap requires your written approval. A cap does not promise we will spend the full amount. Unused cap is not a credit against care or management fees.
10. Offboarding
JBNX registers and administers domain names used for your project. You appoint JBNX as the registrant and administrative contact for those domains for as long as we provide the service. We require that control so we can keep DNS, certificates, mail, and hosting working. If you move, unlock, or transfer a domain away from JBNX without a completed transfer under this section, we may stop the service and take the site down, and we are not obligated to keep it live on a domain we do not control.
Website. When care ends we take the website down. After you have paid for twelve (12) consecutive months of care, you may request in writing a copy of the then-current public site files. We will complete that copy within thirty (30) days of a complete request, provided your account is current. The design, code, hosting accounts, management system, templates, and stack stay with JBNX.
Domain. After twelve consecutive paid months of care, you may request in writing that JBNX transfer the domain name registration to a registrar account you control. We will complete that transfer within thirty (30) days of a complete request, provided your account is current and you pay any registrar transfer fee.
Ad account. An advertising account opened in your name stays yours. You keep it when you leave. A manager account, MCC, or Business Manager seat JBNX owns stays with JBNX. After twelve consecutive paid months, on written request and if your account is current, we will disconnect your account from our manager and, if the platform allows, remove our access. We do not transfer JBNX's manager account.
Pixel. A pixel or conversion tag in an ad account in your name stays with that account. A pixel JBNX created inside a JBNX-owned account stays with JBNX. After twelve consecutive paid months, on written request, we will give you the conversion-event configuration we used for your campaigns.
Campaigns. Campaign structure, naming, audiences we built from our methods, and bidding playbooks are JBNX operational assets and stay with JBNX. After twelve consecutive paid months, on written request, we will export a copy of then-current campaign settings as the platform allows (names, budgets, ads, targeting). We do not transfer our management system, templates, or internal processes.
Data. Your customer data and the data your customers submit through forms are yours. We will provide an export of that data on written request while the account is current, and within thirty (30) days after care ends if you ask in writing from the email on this signature.
Social assets. Pages, profiles, and business managers you already own stay yours, including content posted there. Pages, profiles, or business managers JBNX created in its own name stay with JBNX unless transferred after twelve consecutive paid months on written request; you pay any platform fee. We do not transfer JBNX's own social accounts.
Before twelve consecutive paid months, JBNX has no obligation to transfer a domain, unlock it, change the registrant, hand over site files, export campaigns, or transfer pixels or social assets JBNX owns. Ending care at any time does not create those rights. JBNX-created operational assets listed in Section 5 are never transferred.
11. Advertising results are not guaranteed
ADVERTISING RESULTS CANNOT BE GUARANTEED. JBNX does not warrant or promise search rankings, traffic, impressions, clicks, cost-per-click, cost-per-lead, cost-per-acquisition, conversion rate, leads, bookings, sales, revenue, or return on ad spend. Platforms change auction rules, prices, and policies without notice. Past results are not a prediction of future results.
Reports we send are operational tools, not a warranty. A scorecard that shows cost per lead is a measurement of what happened, not a promise of what will happen.
12. Your content, conduct, and advertising compliance
You represent that Client Materials do not infringe anyone else's rights and that you have authority to bind the business named in the signature. You will not use a JBNX-hosted property or a campaign we run for illegal, deceptive, infringing, or abusive activity, including spam, malware, or attacks on other systems.
You are solely responsible for the accuracy and legality of your offers, claims, pricing, licenses, testimonials, before-and-after statements, and any disclosure required for a regulated industry (including but not limited to health, finance, insurance, legal, alcohol, housing, employment, and similar categories). You will supply compliant copy and required disclaimers before we run ads. JBNX may refuse, pause, or take down an offer, ad, or page we reasonably believe is inaccurate, unlawful, or likely to violate platform policy. That pause is not a breach by JBNX.
We may suspend or take down a site or campaign that violates this section, that threatens other clients' hosting, or that we reasonably believe we must take down to follow the law. We will tell you why when we can.
13. Third-party platforms
You agree to the terms of any third-party service we connect for you, including advertising platforms. We are not responsible for their downtime, fees, disapprovals, account suspensions, or policy changes. Help working around them is studio time unless we caused the break.
14. No warranty
EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." JBNX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We aim to keep hosted sites online and to answer outage reports within one business day. We do not promise a specific uptime percentage. If a site we host is down more than 24 consecutive hours because of something solely on our side, we will credit that month's care. That credit is your only remedy for downtime. Section 11 (no advertising guarantee) is part of this disclaimer.
15. Limit on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, JBNX AND ITS MEMBERS, EMPLOYEES, AND CONTRACTORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS, FAILED ADVERTISING RESULTS, OR SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
JBNX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THIS AGREEMENT OR THE SERVICES IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID JBNX FOR CARE AND ADVERTISING MANAGEMENT FEES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Media spend paid to platforms, whether through your card or as a pass-through, is not part of that cap and is not a JBNX receipt except as a pass-through. If you have paid nothing, our total liability is $0. These limits apply to contract, tort (including negligence), strict liability, and any other theory, and they survive termination.
Some jurisdictions do not allow certain limitations. If a limit is not allowed, it applies to the maximum extent that is allowed.
16. You cover us for your content, your business, and your ads
You will indemnify, defend, and hold harmless JBNX and its members, employees, and contractors from claims, damages, losses, and reasonable legal fees arising out of: (a) Client Materials; (b) your business, products, services, pricing, or customers; (c) your offers, claims, licenses, or regulated-industry disclosures; (d) advertising we run at your instruction or with your approval; (e) your breach of this Agreement; or (f) your misuse of the site or services. We will notify you of a claim and you will not settle it in a way that admits fault by JBNX without our written consent.
17. Ending the agreement
There is no minimum care term. Either party may end care or advertising at any time by written notice, including an email to hello@jbnx.io asking us to take the site down or stop ads. We may also end the Agreement immediately for non-payment, for a material breach that is not cured within ten (10) days of notice, or if continuing would be unlawful.
When care ends we take the site down and stop ads we manage. Ending care does not create a right to the domain, the files, the design, campaigns, pixels, or social assets except as Section 10 allows after twelve consecutive paid months. If a transfer under Section 10 is already in process, we will finish that transfer. Sections 5, 6, 10, 11, 12, 14, 15, 16, 17, and 18 survive.
18. Law, venue, and the rest
This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. You and JBNX will first try to settle a dispute by email or phone. If that fails, exclusive venue is the state or federal courts sitting in Arlington County, Virginia, and you consent to personal jurisdiction there.
This Agreement, plus any written statement of work we both sign (including a written monthly management fee, Monthly Cap, Daily Cap, or approved offer), is the entire agreement and replaces prior oral or written discussions about the same subject. If a court finds a provision unenforceable, the rest stands. A waiver of one breach is not a waiver of the next. You may not assign this Agreement without our written consent; we may assign it to a successor of the studio. Notices go to hello@jbnx.io and to the email you sign with.
Electronic signatures, typed names, and checkbox assent on this page are intended to be valid under the federal ESIGN Act and the Virginia Uniform Electronic Transactions Act. We will keep a record of your name, email, business name, the agreement version, a hash of this text, the time, and a technical receipt id.
